These terms apply to your use of voxira.co and to the services provided by Voxira Technologies, L.L.C. ("Voxira", "we", "us"), a Delaware limited liability company. By using the site or engaging us, you agree to them. If you engage us on behalf of a company, you confirm that you may bind it.
1. Using the website
You may browse the site and contact us for lawful purposes. You must not disrupt or overload the site, try to access it or our systems without authorisation, scrape it at scale, or use the contact form or our WhatsApp number to send spam, malware or unlawful content.
The site's text, design, graphics and logo belong to Voxira unless stated otherwise. Project names, screenshots and logos of the founder's work belong to their owners and are shown as portfolio examples. You may not copy or republish site content without our permission.
The site describes our services in general terms. It is not an offer, a contract or professional advice, and it may change at any time.
2. How engagements work
Every project starts with a written proposal that sets out the scope, deliverables, timeline, price and payment schedule. A project begins when you accept the proposal in writing and pay any first instalment it requires. The proposal and these terms together form our agreement; if they conflict, the proposal wins.
Work outside the agreed scope, or changes after work has started, is quoted separately and needs your written approval before we do it. Timelines depend on you supplying content, access, feedback and approvals on time; delays on either side move the dates.
3. Fees and payment
- All prices are quoted and billed in US dollars (USD) and exclude any taxes, which you pay where they apply.
- Payments are usually made in milestones, as set out in the proposal.
- Card payments are processed by Stripe. Bank transfer details, where offered, are on the invoice.
- Invoices are due within 14 days unless the proposal says otherwise.
- If a payment is overdue, we may pause the work until it is settled.
- Third-party costs such as hosting, domains, licences and paid APIs are your responsibility unless the proposal includes them.
Refunds and cancellations follow our Refund & Cancellation Policy.
4. Your materials and responsibilities
You are responsible for the content, data, trademarks and materials you give us, and you confirm you have the right to use them. You give us permission to use them only to deliver your project. You are responsible for how you use the finished work, including meeting the laws that apply to your business and your users.
5. Ownership of the work
When you have paid in full for a deliverable, you own the custom code, designs and content we created specifically for you, and we assign the rights in them to you. Until then, we keep those rights, and you may use the work only to review it.
We keep ownership of our pre-existing tools, libraries and know-how, and of general techniques we use across projects; where they are part of your deliverable, you receive a permanent, worldwide, royalty-free licence to use them as part of that work. Open-source components remain under their own licences. Unless you tell us in writing not to, we may mention the project and show non-confidential parts of it in our portfolio after it is public.
6. Confidentiality
Each of us will keep the other's non-public business, technical and personal information confidential, use it only for the project, and share it only with people who need it and are bound to keep it confidential. This does not cover information that is public, already known, independently developed, or that the law requires to be disclosed. A separate NDA, if signed, also applies.
7. Quality and warranty
We do the work with reasonable skill and care, to the specification in the proposal. If, within 14 days of delivery, you report that a deliverable does not work as agreed, we will fix it at no extra cost. This does not cover problems caused by changes made by others, third-party services or hosting, or new requirements. Ongoing maintenance and support are available under a separate plan.
Apart from what is written in these terms and the proposal, the site and our services are provided "as is", and we make no other warranties, including of merchantability, fitness for a particular purpose or uninterrupted operation, to the extent the law allows. Search optimisation (SEO, AEO and GEO) improves the conditions for visibility; we do not promise any ranking, position or traffic.
8. Limitation of liability
To the extent the law allows, neither of us is liable to the other for indirect, incidental, special or consequential losses, or for lost profits, revenue, data or goodwill. Our total liability arising from a project is limited to the fees you paid us for that project in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law, such as for fraud.
9. Indemnity
You will defend and compensate us against third-party claims arising from materials you supplied or from your use of the work in breach of these terms or the law. We will do the same for claims that the custom work we created for you infringes someone else's intellectual property, except where the claim comes from your materials or instructions.
10. Ending an engagement
Either of us may end a project by written notice if the other materially breaches these terms and does not fix the breach within 14 days of being asked. You may also cancel as described in our Refund & Cancellation Policy. When a project ends, you pay for the work done up to that point, and we hand over the work you have paid for. Sections 5 to 9 and 12 continue after a project ends.
11. Sanctions and export control
We do not provide services to, or accept business from, individuals or entities located in, or ordinarily resident in, countries and regions subject to comprehensive U.S. sanctions, including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk and Luhansk regions of Ukraine, or to persons on U.S. government restricted-party lists. Software we deliver may be subject to U.S. export control laws, and you agree to comply with them.
12. Governing law and disputes
These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. If a dispute arises, we will first try to resolve it in good faith by talking to each other. If that does not work within 30 days, the dispute will be heard by the state or federal courts located in Delaware, and both of us agree to their jurisdiction.
13. General
Neither of us is responsible for delays caused by events beyond reasonable control. You may not transfer an engagement to someone else without our written consent. If a part of these terms cannot be enforced, the rest still applies. A failure to enforce a term is not a waiver of it. These terms, the proposal and our policies are the whole agreement between us about the project.
14. Changes
We may update these terms and will revise the date at the top. The terms in force when you accepted a proposal apply to that project.
